2. Article 2 - Membership
2.1 Membership Qualifications
- Any individual or
group such as corporation, department, division, branch or association
which the board may consider appropriate may apply to the Board of Directors
to enter into membership of the IAI-AC by completing the membership application form (Annexure 1 to these Bylaws). In the event that the
Board of Directors determines, in its sole and absolute discretion, that
membership of the individual or organisation as an IAI-AC member is in
the best interests of the IAI-AC and its members, the Chairperson of the
IAI-AC will be authorised, after the approval of the Board of Directors,
to allow membership upon the terms and conditions set out in these by-laws.
2.2 Membership entitlements not transferable
- A right, privilege
or obligation which a person or organisation has by reason of being a member
of the association:
- is not capable of being transferred or transmitted to another person; and
- terminates on cessation of the person's membership.
2.3 Members' liabilities
- The liability
of a member of the IAI-AC to contribute towards the payment of the debts
and liabilities of IAI-AC or the costs, charges and expenses of the winding
up of the IAI-AC is limited to the amount, if any, unpaid by the member
in respect of membership of the IAI-AC.
2.4 Resolution of internal disputes
- The Board
of Directors shall have sole authority to resolve all disputes relating
to these by-laws and the operations of the IAI-AC.
2.5 Non Payment of Fees
- Membership
shall be subject to immediate termination in the event a member does not
pay, within 90 days or such other period as the Board may determine, all
dues and other financial obligations to the IAI-AC.
A member who has paid all amounts payable by the member to the IAI-AC in respect of the member's membership may resign from membership of the IAI-AC by first giving to the Secretary written notice of at least 90 days (or such other period as the Board may determine) of the member's intention to resign and, on the expiry of the period of notice, the member ceases to be a member.
2.6 Register of members
- The Public
Officer of the IAI-AC must establish and maintain a register of members
of the IAI-AC specifying the name and address of each person or organisation
who is a member of the IAI-AC together with the date on which the person
became a member. Group members must nominate, and the Public Officer must
record the name of, an individual who may act as the representative of
the member.
The register of members must be kept at the principal place of administration of the IAI-AC and must be open for inspection, free of charge, by any member of the association at any reasonable hour and upon reasonable notice.
If a member of the association ceases to be a member, and in every other case where a member ceases to hold membership, the Secretary must make an appropriate entry in the register of members recording the date on which the member ceased to be a member.
2.7 Fees and subscriptions
- A member
of the IAI must, on admission to membership, pay to the IAI the annual
membership fee for the relevant class of membership. Classes of membership
and fees applying to each class shall be determined from time to time by
a General Meeting.
- except as provided by paragraph (b), before 1 July in each calendar year; or
- if the member becomes a member on or after 1 July in any calendar year - on becoming a member and before 1 July in each succeeding calendar year.
Membership classes and fees are listed on the Application. These may be adjusted by the Board annually if required and notified to members.
