5.    Article 5 - Officers

5.1    Number of officers

    The officers of the IAI-AC shall be the Chairperson, Vice Chairperson, Secretary, and Treasurer. The officers will be elected from among the Board of Directors. Other officers and assistant officers as may be deemed necessary may be elected by the Annual General Meeting.

5.2    Election of Officers

    The officers of the IAI-AC shall be elected annually by the Annual General Meeting. The Chairperson must be working within Building and Construction industry. Officers so elected shall serve for a term of one (1) year.

5.3    Duties of Officers

    All officers must, as soon as practicable upon appointment, lodge notice with the IAI-AC of their address. The list of duties of the officers, which is not exhaustive, is as follows:
       
    1. The Chairperson shall: preside as Chairperson at all meetings of the Board of Directors. The Chairperson may sign, as may the Treasurer or any other officer authorised by the Board of Directors, any deeds, mortgages, bonds, contracts or other instruments which the Board of Directors has authorised to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors. The Chairperson shall perform such other duties as may be required by the Board of Directors.
    1. The Vice Chairperson shall: perform such duties as may be assigned by the Chairperson or by the Board of Directors from time to time. In the event of the Chairperson's death, inability or refusal to act, the Vice Chairperson shall perform the duties of the Chairperson and when so acting shall have all the powers of and be subject to any restrictions upon the Chairperson.
    1. The Treasurer shall:
      • have charge and custody of and be responsible for all funds and securities of the IAI-AC;
      • receive and give receipts for monies due and payable to the IAI-AC from any source whatsoever and deposit all such monies in the name of the IAI-AC in such banks or other depositories as may be selected in accordance with the provisions of these by-laws;
      • keep or cause to be kept correct books and accounts showing the financial affairs of the IAI-AC including full details of all receipts and expenditure connected with the activities of the IAI-AC;
      • be responsible for the preparation of a proposed annual budget for consideration by the Board of Directors;
      • perform such other duties as may be assigned by the Chairperson or the Board of Directors from time to time;
    1. The Secretary shall:
      • see that all notices are duly given in accordance with these by-laws;
      • keep minutes of all appointments of directors and members of the IAI-AC;
      • cause to be prepared notices, agendas and minutes of meetings of the Board of Directors and of the members;
      • be the custodian of the IAI-AC's records; and
      • perform all duties incident to the office of Secretary and such other duties as may be assigned by the Chairperson or by the Board of Directors from time to time.

5.4    Vacancies

    A vacancy in any office because of death, resignation, removal, disqualification or otherwise shall be filled by the Board of Directors for the unexpired term.
